AMG Critical Materials N.V., a Netherlands-based critical materials company, has completed its acquisition of the remaining c. 71% ownership interest in Zinnwald Lithium Plc. The transaction was completed on July 27, 2026, under the terms announced on May 14, 2026.
The approximately $56 million acquisition was funded equally through cash and newly issued AMG shares. AMG had owned approximately 29% of Zinnwald Lithium before acquiring the remaining interest, giving AMG and its subsidiary full ownership of the company.
Zinnwald Lithium is associated with a multi-product mining project containing lithium, potassium, and tin. The project is located in Germany and represents an additional lithium resource within AMG's energy storage materials operations.
Zinnwald Lithium shares are expected to be converted into AMG shares and credited to eligible shareholders between July 29 and August 10, 2026. Trading in Zinnwald Lithium shares on AIM was suspended on July 27, with cancellation from trading expected on July 28, 2026.
AMG Lithium CEO Stefan Scherer said the near-term work would cover reviewing, redefining, and advancing the project. The company expects this phase to take approximately 18 to 24 months and plans to engage with communities and other project stakeholders during the process.
